We, at Couplet provide a personalized dating service to Indian Citizens, people of Indian Origin, and Non-Resident Indians (“Services”).By accessing or using Couplet’s website/app (“Couplet”) or availing its Services, you agree you have read, understood and expressly agree to be bound by these terms and conditions (“Terms and Conditions“) without any exception.

Couplet also reserves the right to offer additional Services, revise any of the Services, cease offering of any of the Services and/or change the Terms and Conditions, at any time and solely at its own discretion. If you continue using the Site or availing the Service it implicitly constitutes your acceptance of the Terms and Conditions and any revisions thereto. The date of any revisions will be posted at the end of these Terms and Conditions. You understand that it is your responsibility to periodically review these Terms and Conditions to stay informed of the updates, if any. You will be subject to and will be deemed to have been made aware of, to have accepted and be legally bound by the changes in any revised Terms and Conditions by your continued use of Couplet’s Site or availing of its Services after the date on which such revised Terms and Conditions are posted on the Site.

ELIGIBILITY

In order to register to use the Services with Couplet, you confirm that you are above 21 (twenty one) years of age and are capable and legally eligible to enter into this binding agreement with Couplet and have the legal capacity to abide by all the provisions of the Terms and Conditions.

You confirm that you are single, legally divorced and/or your marriage has been duly annulled by a relevant court of law. Additionally, you also confirm that you have not been criminally convicted for any offence whatsoever and have not been previously removed by Couplet from using itsServices.

Further, by signing up and submitting your details it is implicitly implied that you are disclosing the facts as they exist and are not misconstruing or concealing any information. This includes but is not limited to information about age, marital or relationship status, employment, citizenship, work rights etc.

You further understand and accept Couplet’s sole discretion and right to either accept or deny your request for membership. You also acknowledge and accept that Couplet reserves the right not to disclose the reason for such refusal or acceptance of any such request for membership by you.

In the event that you are representing someone else and subscribing to theseServices on their behalf, you, without any reservation, are confirming that you have the legal right on behalf of and the permission by the person on whose behalf or for whom you are registering.If someone else opens an account for you it is assumed that the person has the required permission to do so from you and is acting on your behalf with your consent.

DISCLAIMERS

You are solely responsible for the content, information, feedback, comments, questions, answers, data, documents, pictures, and other information (“User Material”) that you or anyone who is registering on your behalf on the Site upload, publish, display or otherwise make available on the Site, and you agree that we are only acting as a passive conduit for your online distribution and publication of your User Material. Couplet will not review, distribute, or reference any such User Material, except for providing the Services (as provided herein or in our Privacy Policy) or as may be required by applicable law.

The Site provides you with access to certain information, content and other person’s User Material. Such information, content and other person’s User Material is provided on the Site on an “As Is Basis” and we assume no liability for the legality, accuracy or completeness or use or obsolescence of such User Material. Couplet shall not be responsible for (i) any User Material posted by any user; (ii) information/content on the Site which is compiled from its users; or (iii) for any unavailability of such information or User Material. However, Couplet reserves the right at its sole discretion to remove, review, edit or delete any content.

Couplet does not conduct any kind of investigation or check, including but not limited to a person’s background, marital status, legal or credit status, or criminal history. Couplet shall not be in any way held liable for inaccuracies, if any.

Couplet is not responsible for the conduct of the people you are matched with or meet through its platform, nor in any way for how you react to a match meeting set up for you. The responsibility of taking all necessary precautions to safeguard yourself against personal and professional harm is upon you. You agree to take all risks associated with any interactions with other members of Couplet,be it online or offline.

Couplet has no obligation and/or responsibility to arbitrate, monitor, resolve or mediate in any disputes arising between the users. The users are solely responsible for their interactions with other users.

Couplet hereby disclaims and excludes any liability that may arise due to your direct or indirect action/inaction.

The Site may sometime contain links to other web sites or resources for your convenience. Given that we have no control over such sites and resources, you acknowledge and agree that we are not responsible for the contents/Services available of such external sites or resources, and do not endorse and are not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or Services available on or through any such site or resource.

Couplet may, based on any form of information provided by you at the time of access to the Site (including during free trials), may contact you through messages, email and call, to give information about its Services as well as give you notifications, this Terms and Conditions and/or Privacy Policy and/or to seek permission for demonstration of its Services. You hereby expressly grant such permission to contact you through messages, e-mail and you cannot hold Couplet responsible for the same in case your mobile number is registered with National Do not Call Database. By registering yourself on the Site as a member, you agree to make your contact details available to our employees, associates, and representatives so that you may be contacted for passing on important information and/or promotions.

You agree that your use of the Site and Services shall be at your sole risk. You expressly understand and agree that, to the maximum extent permitted by applicable law, the Site and Services are provided on an “As Is” and “As Available” basis for your use, without warranties of any kind, express or implied, including without limitation the warranties of merchantability, fitness for a particular purpose, title, non-infringement, and those arising from course of dealing or usage of trade. Couplet shall use all reasonable endeavours to ensure that the Site and Services are capable of being used in an uninterrupted manner but it does not guarantee or warrant that: (i) the Site or Services will meet your specific requirements; (ii) the Site or Services will be uninterrupted, timely, secure, or error-free; and (iii) the quality of any Services, content, information, or other aspect purchased or obtained by you through the Site will meet your expectations; and (iv) any errors in the Services or the Site will be corrected by Couplet.

By submitting User Material, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such User Material in any and all media or distribution methods (now known or later developed), to the extent it is required for the provision of the Services. You agree that others may use your User Material in the same way as any other content available on the Site. If you delete your account, your User Material may remain available through the Services. You understand that Couplet while performing the required technical steps to provide the Services to our other Users, may: (a) transmit or distribute your User Material over various public networks and in various media; and (b) make such compilation of or changes to your User Material as are necessary to conform and adapt that content to the technical requirements of connecting networks, devices, services or media. You agree that the license provided by you shall permit Couplet to take these actions. You warrant to Couplet that you have all the rights, power, and authority necessary to grant the above license.

Couplet shall be entitled to report any cyber security incidents and share related information (including your User Materials and/or your identity) with the court, governmental agencies having jurisdiction on us, the affected parties, Indian Computer Emergency Response Team in accordance with the policies and procedures as mentioned in the Information Technology (The Indian Computer Emergency Response Team and Manner of Performing Functions and Duties) Rules, 2013 and/or any other directions issued by the Indian Computer Emergency Response Team.

Subject to the receipt of a complaint/grievance from any user we have the right (but shall have no obligation) to pre-screen, review, flag, filter, modify, refuse, or remove any or all content from the Site. Couplet may (but shall be under no obligation to) use tools to filter out explicit sexual content or any content which it deems to be unsuitable at its sole discretion.

Couplet reserves the right to access, read, preserve, and disclose any information as it reasonably believes is necessary to: (a) satisfy any applicable law, regulation, legal process or governmental request; (b) enforce these Terms and Conditions, including investigation of potential violations hereof; (c) detect, prevent, or otherwise address fraud, security or technical issues; (d) respond to user support requests; or (e) protect the rights, property or safety of Couplet and its users.

Couplet the right to introduce or change the consideration of any and all Services. Notice of such change may be provided at any time by posting the changes on the Site itself.

All right, title, and interest in this Site and its contents, including but not limited to all texts, graphics, user interfaces, visual interfaces, computer code and any other information associated therewith are reserved by us. Subject to the terms of use set forth in these Terms and Conditions, Couplet grants you a non-transferable, non-exclusive, non-sub licensable and limited license to access and use the Site and its content solely for the purpose permitted i.e., posting User Material and availing the Services. Couplet does not transfer/assign the intellectual property contained in the Site to you, and nothing in these Terms and Conditions shall imply or be deemed or construed to mean that any right, title and interest stands transferred/assigned to you, we retain the full and complete right, title and interest to the Site, and all intellectual contained therein.

Couplet will not be responsible for and/or liable for any loss or damage to any individual arising out of, or subsequent to, relations established pursuant to the use of its Services.

The Services provided by Couplet are strictly for your personal use only. At no point can you transfer, assign or authorize any third party for such use of the Service.

Couplet will do its best to find a suitable match for you as per your preference, but it does not make any guarantees, either expressly or implied regarding the success of the matches or the immediate or ultimate compatibility with individuals that you meet through its Service.  You will not be entitled to any refund in any event whatsoever.

Couplet shall not be responsible or liable for the exercise or non-exercise of its rights under these Terms and Conditions.

YOUR RESPONSIBILITIES

You agree to not misrepresent or provide incorrect information about yourself.

You agree to inform Couplet of any change in your life be it personal or professional, which might have a direct or indirect bearing on your eligibility or perceived compatibility with other members.

You agreeto treat other members and any employees or representatives of Couplet in a respectful and courteous manner, without any stalking, harassment, mistreatment or objectionable behaviour of any sort.

You agree to not use the Services provided by Couplet for anything illegal or to cause any harm to anyone else, without any exception.

You agree to not use Couplet’s platform or Services for any commercial solicitation.

User Materials uploaded by you on the Site/ App, must not violate the following standards (“User Material Standards”):

  1. Must not belong to another person and contain any information that breaches his privacy, without his consent;
  2. Must not be defamatory, obscene, offensive, pornographic, hateful, harmful, insulting or harassing on the basis of gender, defamatory, vulgar, lewd, blasphemous, lascivious, invasive of another’s privacy (including bodily privacy), racially, ethnically or otherwise objectionable or inflammatory, disparaging, relating or encouraging money laundering or gambling or violating laws of any jurisdiction in force (including data protection laws);
  3. Must not promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
  4. Must not infringe any intellectual property including copyright, database right or trademark of any other person;
  5. Must not be in violation of any legal duty owed to a third party, terms of a contract or confidence;
  6. Should not be likely to harass, upset, embarrass, alarm, or annoy any other person or be harmful to child/minors;
  7. Must not impersonate any person, or misrepresent your identity or affiliation with any person;
  8. Must not advocate, promote, incite any third party to commit, or assist any unlawful or criminal act;
  9. Must not contain a statement which you know or believe, or have reasonable grounds for believing, that if published is likely to directly or indirectly encourage or induce others to commit, prepare or instigate such person to commit an acts of terrorism;
  10. Must not be such that it is known by you to be false, inaccurate, or misleading;
  11. Must not contain any computer/software viruses, any computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource or other program for potentially damaging or limiting the functionality of any computer programs or files.
  12. Must not threaten the unity, integrity, sovereignty of a state, friendly relations with foreign states or public order, or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting to another nation; and
  13. Shall not be patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person.

You shall not do any acts that breaches of the following terms of use of the Site/App, including but not limited to:

  1. Distribute, download, sell, supply, modify, adapt, amend, incorporate, merge, or otherwise alter the information/content provided to you as part of the Services or the Site;
  2. Attempt to decompile, reverse engineer, or otherwise disassemble any content provided to you as part of the Services or the Site;
  3. Attempt to copy any software provided to you as part of the Site and its source code, or attempt to decrypt any part of such software that is provided to you;
  4. Create any derivative work or version of any software/information/content provided by us in relation to or to facilitate the use of our Services or any content provided the Site;
  5. Use the Site’s domain name or a domain name which is similar to that of the Site;
  6. Access or use of the Site in any manner that could damage, disable, overburden, or impair any of the Site’s servers or the networks connected to any of the servers on which the Site is hosted;
  7. Access or attempt to access any content that you are not authorized to access by any means; and/or
  8. Disrupt or interfere with the security of, or otherwise cause harm to the Site, materials, system resources, or gain unauthorized access to the user accounts, passwords, servers or networks connected to or accessible through the Site.

TERMS & TERMINATION

When we consider that any provisions of the Terms and Conditions has been breached, and we may take any action legally available, including all or any of the following actions:

  1. we may at our discretion take down any such User Material immediately;
  2. your membership and right to use the Services will be terminated with immediate effect by sending a notice to you at the email address provided by youwithout any refund and any liability on Couplet whatsoever. Such termination of your membership will be final and binding. You acknowledge that upon termination/suspension of your membership, you will no longer be able to access your account or any User Material or data you have stored on the servers;
  3. immediate removal (temporary or permanent) of any other User Material already posted on the Site, upon your failure to cure the breach that is brought to your notice;
  4. initiate legal proceedings against you seeking legal, injunctive, or other equitable remedy; and/or
  5. disclosure of such information to law enforcement authorities as we reasonably feel is necessary or as required by law.

You may terminate your membership at any time for any reason by writing to Couplet. If you choose to terminate your membership, you will not be entitled to a refund of any unutilized subscription fees paid by you.

LIMITED LIABILITY

Couplet will not be liable for any incidental, special, consequential or indirect damages arising out of or relating to the use or inability to use the Services, including, without limitation, damages for loss or corruption of data or programs, service interruptions and procurement of substitute Services, even if Couplet knows or has been advised of the possibility of such damages. To the maximum extent permitted by applicable law, under no circumstances will Couplet aggregate liability, in any form of action whatsoever in connection with these Terms and Conditions or the use of the Services or the Site exceed the price paid by you for your service.

Couplet will not be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of you or anyone else in connection with the use of the Services, including without limitation, bodily injury, emotional distress, and/or any other damages resulting from communications or meetings with other members using the Services. This includes any claims, losses or damages arising from the conduct of users who have registered under false pretences or who attempt to defraud or harm you.

INDEMNITY

You agree to indemnify, defend and hold harmless Coupletand its employees and all related third parties from and against any and all losses, liabilities, claims, damages, costs and expenses including reasonable legal fees and disbursements against or incurred by Couplet resulting out of any third party claim that arise pursuant to (a) your use of or inability to use the Site or Services, (b) any User Materials posted by you, (c) your violation of any these Terms and Conditions or your violation of any rights of a third party, or (d) your violation of any applicable laws, rules or regulations.

You will be solely and exclusively liable for any breach of any country specific rules and regulations or general code of conduct and Couplet cannot be held responsible for the same.

Couplet reserves the right, at its own cost, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Couplet in asserting any available defences.

JURISDICTION

In the event of any dispute involving Couplet and its Services, you unconditionally accept that all such disputes will be governed and decided by the laws of India and the exclusive jurisdiction of the courts in Mumbai, India. Regardless of any statute or law to the contrary, and to the maximum extent permitted by applicable law, any dispute must be filed within 3 months of the date on which the incident giving rise to the dispute occurred. Failure to file the claim as described above, within the applicable time limit constitutes an absolute and unconditional waiver of such a claim.

PRIVACY POLICY

Please carefully read the Couplet Privacy Policy before you accept the Terms and Conditions agreement. By accepting you are implicitly implying that you have read the policy and abide by it without any exceptions.

ACCEPTANCE POLICY & CHANGES

By using this Site, you acknowledge that you have carefully read these Terms and Conditions and fully understand that they include and incorporate a comprehensive and binding release of liability by you in respect of Couplet and its employees and waive any right that you may otherwise have to bring any legal action against them in the form of indemnity, damages, tort claim or equity claim for the items disclaimed under these Terms and Conditions. For the avoidance of doubt, to the extent lawfully permitted, the release and waivers set out in this clause includes any action under the tort of negligence (whether such negligence is founded in statute, common law or otherwise).

CHANGES

Couplet reserves the right to amend the Terms and Conditions at any time. Any changes made will be posted on this statement. Please make sure you check our Terms and Conditions and privacy policy before confirming anything. Your continued use of any portion of our Site following posting of the updated Terms and Conditions will constitute your acceptance of the changes.
